Terms and Conditions: Consignment

Thank you for choosing AV Luxury, LLC to help sell your merchandise. We look forward to an ongoing, mutually successful business relationship with you. 

The following principles below therefore make up the Terms & Conditions for any consignment contract and related transactions entered into. This applies to all and any consignments contract template utilized by both the vendor or consumer: 

 

1. Agency; Purposes

The consignee appoints AV Luxury, LLC as agent for the merchandise consigned under this agreement, for the purposes of sale. AV Luxury, LLC shall not permit the merchandise to be used for any other purposes without the written consent of the consignee. AV Luxury, LLC reserves the right to reject any and all merchandise even if the consignee has previously consigned with us. 

2. Consignment

Consignee hereby consigns to AV Luxury, LLC, and AV Luxury, LLC accepts on consignment, the merchandise listed in the Quote My Bag portal, which is a part of this agreement. Consignee also confirms that by consigning these items they are fully/legally owned by the consignee prior to sending to AV Luxury, LLC and are not the property of any other person or entity. 

3. Duration of the Consignment

The Consignee and AV Luxury, LLC agree that the initial term of consignment for the merchandise is to be 60 days from the date contract was signed and that the consignee will not ask for return of their merchandise prior to this date unless the agreement is breached by AV Luxury, LLC. 

After the initial 60 day minimum contract, the consignee has the right to demand all/some of their merchandise back if requested. After 60 days, if consignee has not picked up any remaining merchandise, on the 65th day, AV Luxury, LLC has the right to put designs/merchandise on sale for up to 25% off to help promote/sell merchandise.  Consignee will also pay AV Luxury a $25 fee for Authentication of the returned item.  The Authentication paperwork will be provided to the consignee along with the returned merchandise. 

After 120 days, if the designs/merchandise have not sold, consignee must make arrangements for merchandise to pick up/shipped back. 

4. Transportation Responsibilities

Packing and shipping charges, insurance costs, other handling expenses, and risk of loss or damage incurred in the delivery of merchandise from the consignee to AV Luxury, LLC, shall be the responsibility of the consignee. Packing, shipping, insurance, and other handling expenses from AV Luxury, LLC to the consignee is the sole responsibility of the consignee. 

5. Responsibility for Loss, Damage, Insurance Coverage

AV Luxury, LLC will be responsible for the safe keeping of all consigned merchandise while they are in its custody. AV Luxury, LLC represents that they will maintain insurance for theft and damage, and that the consigned merchandise will be covered by said insurance while it is in our AV Luxury, LLC’s possession.

       6.  Taxes 

AV Luxury, LLC agrees to collect and pay all applicable sales taxes. 

7. Pricing; Commission; Terms of Payment

AV Luxury, LLC shall sell merchandise only at the retail price specified on the inventory sheet/s of this agreement. Retail price for merchandise must be agreed upon by both the consignee and AV Luxury, LLC. AV Luxury, LLC and the consignee agree that AV Luxury, LLC’s commission is to be as follows, based on the retail price of the sold piece: 

• Up to $1,249 = 65% Commission to Consignee 

• $1,250-$2,999 = 70% Commission to Consignee 

• $3,000-$4,999 = 75% Commission to Consignee 

• $5,000+ = 80% Commission to Consignee 

Payment to consignee for all sold merchandise will be paid out in the form a check, Venmo, Bank Transfer or PayPal deposit. Payment to consignee for all sold merchandise will be issued within 2 Business Days of the item being shipped to the purchaser. 

If consignee chooses to take store credit in exchange for cash, an additional 10% will be added to the store credit value.  For example, if the commission to consignee totals $1,000 in cash, if the consignee choose AV Store Credit, in lieu of cash, the total amount of store credit will be $1,100 ($1,000 x 110%). 

If we lose contact with you after 120 days or more, your inventory will become the property of AV Luxury, LLC. 

8. Promotion

AV Luxury, LLC shall use its best efforts to promote the sale of the merchandise. Consignee understands that while AV Luxury, LLC agrees to use its best efforts to obtain a sale of the consigned merchandise, there is no guaranty a sale will occur. 

 

Terms and Conditions: Buy-Out 

Buy-Out terms, agreements and contract

 

 

1. Agency; Purposes

The Seller is selling their product(s) to AV Luxury, LLC as a one-time sale of the item.  AV Luxury, LLC reserves the right to reject any and all merchandise even if the Seller has previously consigned or sold with us. 

2. Sell of Items

Seller hereby sells to AV Luxury, LLC, the merchandise listed on the attached inventory sheet, which is a part of this agreement. Seller also confirms that by selling these items they are fully/legally owned by the seller prior to sending to AV Luxury, LLC and are not the property of any other person or entity. Additional Inventory Sheets may be incorporated into this agreement if both parties agree. Seller shall sign off on all inventory sheets. 

3. Transportation Responsibilities

Packing and shipping charges, insurance costs, other handling expenses, and risk of loss or damage incurred in the delivery of merchandise from the Seller to AV Luxury, LLC, shall be the responsibility of the Seller. Packing, shipping, insurance, and other handling expenses from AV Luxury, LLC to the Seller is the sole responsibility of the Seller. 

4. Terms of Payment

AV Luxury, LLC shall pay Seller for merchandise within 48 hours of receiving authentication approval from Entrupy.  

Payment to Seller for all authenticated merchandise, less the total shipping cost for label provided, will be paid out in the form a gift certificate.
